Strategic Board Advisor in Dubai for Growth Companies

A strategic board advisor in Dubai gives founders and boards an experienced outside view on markets, deals and partnerships, without the statutory duties of a voting director. I serve as an advisor or non-executive director for companies expanding across the US, Canada, the UAE, India and Africa, focused on decisions that turn into signatures.

Board advisor in Dubai: what the role covers

A strategic board advisor gives a founder and board an experienced outside view on the decisions that move the business: which markets to enter, which deals to sign, which partners to trust and which opportunities to decline. Unlike a voting director, an advisor does not carry the statutory duties of the board, which makes the role faster to set up and easier to scope.

My work at board level focuses on four areas:

  • Markets: entry and expansion across the US, Canada, the UAE, India and Africa.
  • Deals: structure, negotiation and execution of major transactions.
  • Partnerships: qualifying and opening conversations with principals.
  • Discipline: turning board discussion into decisions, owners and dates.
A good board advisor does not add opinions. The job is to remove the distance between a decision and a signature.

Non-executive director in the UAE and Dubai

A non-executive director sits on the board without running the business day to day. The UAE has strengthened its governance framework steadily:

UAE boards are also unusually hands-on. Heidrick & Struggles' Board Monitor UAE 2024 found that 52% of UAE directors are frequently operationally involved, against a 25% global average, and that 44% of board appointments are non-national. That suits directors who bring operating experience, not just oversight.

Independent director in the UAE

An independent director has no material relationship with the company, its management or its major shareholders that could affect judgement. For listed companies, independence is defined strictly in the SCA Governance Guide. For private companies, independence is a choice, and often a smart one before a fundraise, a joint venture or a sale, because counterparties read the board as a signal of discipline.

Non-executive director fees in the UAE: how they are set

I have not found a reliable published fee range that covers UAE private companies, so I will not quote one. What is published is how remuneration is governed:

  • Listed and public companies: Article 171 of Federal Decree-Law No. 32 of 2021 caps board remuneration at 10% of net profit for the financial year, after depreciation and reserves, subject to the general assembly. Committee work may be paid separately within company policy.
  • Private companies: set by agreement. The usual building blocks are an annual retainer, committee or project fees, and sometimes equity or options tied to milestones.

The factors that move the number are time commitment, committee load, liability exposure, sector risk and the value of the network and deals the director brings.

How I work as a strategic board advisor

  1. Diagnose (first 30 days): markets, pipeline, partners and the three decisions that matter most.
  2. Decide: the board commits to priorities with owners and dates, using the 90/90 Method: 90 days to a decision, 90 days to execution.
  3. Open rooms: introductions to principals, after an engagement letter and NCNDA.
  4. Report: a short written update before every board meeting: what was signed, what moved, what is stuck.

Proof: board and leadership roles

  • Co-Founder and Vice-Chairman (in formation), Global Healthcare Group, a DIFC holding company for specialty hospitals.
  • Written global mandate (2025–2027) to represent and negotiate for ABMIG, a 14-company Dubai holding group.
  • Head of Alliances and Growth, Galaxy Weblinks: USD 30M of signed software deals plus active pipeline.

Frequently asked questions

What is the difference between a board advisor and a board member?

A board member, or director, is formally appointed, votes on resolutions and carries statutory duties and personal exposure for board decisions. A board advisor is engaged by agreement, has no vote, and has contractual rather than statutory obligations. Advisors suit founders who need expertise and access quickly; directors suit companies that need formal governance.

What does a non-executive director do in the UAE?

A non-executive director sits on the board without managing the business day to day. They challenge strategy, oversee risk and performance, and often chair or join committees. In the UAE, boards tend to be hands-on: a 2024 Heidrick & Struggles survey found 52% of UAE directors are frequently operationally involved, against a 25% global average.

How much does a non-executive director earn in the UAE?

There is no reliable public fee range for private companies, so treat any single number with caution. For listed and public companies, Article 171 of Federal Decree-Law No. 32 of 2021 caps total board remuneration at 10% of net profit after depreciation and reserves. Private companies set fees by agreement, usually a retainer plus committee fees and sometimes equity.

Do UAE companies need independent directors?

Listed public joint stock companies do. The SCA Governance Guide requires at least one-third of the board to be independent, and stricter ratios apply where the chair and CEO roles are combined. Private companies are not bound by the same ratio, but many appoint independent directors before a fundraise, joint venture or sale.

Can a board advisor help us enter new markets?

That is the core of my work. I help boards decide which markets to enter across the US, Canada, the UAE, India and Africa, structure the partnerships and deals needed to get there, and open conversations with principals once an engagement letter and NCNDA are in place. The goal is signed relationships, not a strategy document.

How many board and advisory seats do you take?

I keep active advisory seats to three or four a quarter so each client gets real time and attention. Every engagement starts with a 15-minute fit call for USD 500, credited in full against any engagement within 30 days and refunded if I decline the file.
