What is deal structuring?
Deal structuring is the work of deciding how a transaction actually functions. Price is only one variable. The structure decides who contributes cash, assets, licences or relationships, who controls which decisions, how and when each party gets paid, and what happens when something goes wrong.
Two deals at the same headline number can carry completely different risk. One pays everything on day one. The other ties part of the payment to performance and gets signed because nobody has to bet the company on a forecast.
Price is what people argue about. Structure is what decides whether the deal is still standing in year two.
What a deal structuring consultant actually does
I am brought in before the lawyers draft and usually after the first round of conversations has stalled. My job is to turn intent into terms both sides can sign. The work runs in six steps:
- Map the parties. What each side really needs: cash now, control, upside, a market, a licence, or a clean exit.
- Choose the structure. One of the structures below, or a combination of two or three.
- Write the term sheet in plain English. One to three pages that a founder and a chairman can both read in ten minutes.
- Stress-test it. What happens if revenue arrives six months late, a partner exits, or an approval slips?
- Negotiate and coordinate. I sit across the table and line up counsel, tax advisers and, where needed, licensed firms.
- Carry it to execution. A signature is the start. I stay through the first 90 days so the structure works in practice.
Legal drafting stays with qualified lawyers and tax positions stay with tax advisers. I design and negotiate the commercial architecture they document.
Common deal structures and when to use each
| Structure | How it works | Use it when | Watch for |
|---|---|---|---|
| Equity | A partner or investor takes shares in the company | The partner brings long-term value and you accept shared ownership | Valuation gaps, minority protections, exit rights |
| Earn-out | Part of the price is paid later, based on agreed performance | Buyer and seller disagree on what future growth is worth | Exact metric definitions and who runs the business during the earn-out period |
| Joint venture | Two or more parties share a vehicle or contract for a defined project | Each side holds something the other cannot build quickly: land, licence, capital, market access | Deadlock, valuing in-kind contributions, exit mechanics |
| Revenue share | Parties split revenue from a defined product, channel or territory | You want alignment without changing ownership | Gross vs net definitions, audit rights, term |
| Exclusive mandate | One party is appointed sole representative for a set scope and term | An owner needs one accountable seller or negotiator with a plan | Term length, performance milestones, carve-outs |
| Licence / distribution | Rights to sell or use a product, brand or IP in a territory | A proven product enters a new region without a new entity | Minimum volumes, territory, termination, IP protection |
| Vendor financing | The seller lets the buyer pay over time | The buyer has the business case but not all the cash upfront | Security, default remedies, where the money sits |
Deal structuring in real estate
Real estate is where I learned structure. In 14+ years in Toronto I closed USD 300M in personal real estate sales, and the deals that worked were the ones where the structure matched the asset: land-for-equity joint ventures between landowners and developers, development management agreements, exclusive sales mandates and staged payment plans.
In Dubai, structure must sit inside a clear regulatory frame. Under Law No. (8) of 2007, a developer that wants to sell units off-plan must apply to the Dubai Land Department to open an escrow account, and needs the Department's written authorization before advertising off-plan units. Good structures work with that protection, not against it. If you are an investor rather than a developer, my first book, Beyond Riches with Income Properties, covers the investor side.
Creative structures that close a valuation gap
Creative structuring means solving a real constraint, not hiding risk. Three patterns I use often:
- Bridge a valuation gap with a smaller upfront payment plus an earn-out tied to numbers both sides can audit.
- Replace a cash ask with a distribution licence plus a revenue share, so the partner pays with market access.
- Phase a large project so each stage has its own approvals, funding and exit point.
My test is simple: if the structure cannot be explained on one page, it is not creative. It is fragile.
Cross-border deals advisor: what changes at the border
Most of my files cross at least one border across the US, Canada, the UAE, India and Africa. Five things change every time:
- Ownership rules. The UAE allows 100% foreign ownership of onshore companies across a wide range of activities under Federal Decree-Law No. 26 of 2020, effective from June 2021, with exceptions for activities of strategic impact. In many sectors, a local partner is now a commercial choice rather than a legal requirement.
- Tax. The UAE introduced a 9% standard corporate tax rate for financial years starting on or after 1 June 2023. Bring tax advisers in before the term sheet, not after.
- Treaties and trade. Canada and the UAE signed a Foreign Investment Promotion and Protection Agreement in November 2025 and a Comprehensive Economic Partnership Agreement in October 2026, expected to enter into force in 2027.
- Decision cadence. Who signs, who influences, and how long each side needs to say yes.
- Money mechanics. Currency, payment timing, and who holds funds. I never hold client funds; money moves only between the parties’ banks.
Why an operator gets your deal signed faster than a big firm
Large firms bring large teams. My clients get one-on-one work with an operator who runs his own businesses and mandates, and who has sat on both sides of the table.
Proof: structures I have built and carried
- Exclusive mandate: a USD 1B exclusive sales mandate for two Dubai towers, an 80+ storey tower and a 50-storey tower (2026).
- Representation mandate: a written global mandate (2025–2027) to represent and negotiate for Abdulla Bin Mujren Investment Group (ABMIG), a Dubai holding group of 14 companies.
- Consortium: founder and Board Director of AERC, a Dubai waste-to-energy consortium of about USD 500M project value, designed for 7,500 tonnes a day.
- Licence and distribution: I structured the GCC distribution partnership for US data-centre firm Fiber Mountain. See partnerships.
In total I hold 191 deal files across 11 sectors. More on my background is on the about page, and the method behind it is in my new book, The Deal Architect.

How to start, and what it costs
A wrong partner or distributor contract costs a year. The fit call costs USD 500.
My fit-first promise: if I decline your file, your USD 500 comes back in full. If I take it, every dollar is credited to your engagement.

Frequently asked questions
What does a deal structuring consultant do?
A deal structuring consultant designs how a transaction works before lawyers document it. That means mapping what each party needs, choosing the structure (equity, earn-out, joint venture, revenue share, mandate, licence or vendor financing), writing a plain-English term sheet, stress-testing it against things going wrong, negotiating it, and staying involved until the deal is executing, not just signed.
How is deal structuring different from legal drafting?
Deal structuring decides the commercial architecture: who contributes what, who controls what, and how money and risk move over time. Legal drafting turns that architecture into enforceable documents. I do the first and coordinate with qualified lawyers and tax advisers for the second. I do not give legal or tax advice, and I make sure the people who do are involved early.
When should I bring in a deal structuring advisor?
The best time is before the first term sheet, when changing the structure costs nothing. The second-best time is when talks have stalled on price, because a stalled price is often a structure problem. Bring me in when the deal crosses a border, involves several parties, or is large enough that a mistake in year two would hurt the business.
Can an earn-out solve a disagreement on valuation?
Often, yes. An earn-out pays part of the price later, based on agreed performance, so the seller is paid for growth they believe in and the buyer only pays for growth that arrives. It only works if the metric is defined precisely, can be audited, and both sides agree who runs the business during the earn-out period.
How much does a deal structuring consultant cost?
Fees vary widely in the market. With me, you start with a 15-minute fit call for USD 500, credited in full against any engagement within 30 days and refunded if I decline the file. Ongoing work runs through a 90-day advisory seat at USD 30,000 a month, and I take three to four seats a quarter.
Do you work on cross-border deals outside the UAE?
Yes. I am based in Dubai and work across the US, Canada, the UAE, India and Africa. Many of my files involve at least two of those markets, for example a North American company entering the Gulf or a Gulf group expanding into Canada, where the Canada and UAE investment and trade agreements now give both sides more certainty.
