What a joint venture is, and when it is the right structure
A joint venture is two or more parties combining capital, capability, licences or market access to pursue a defined opportunity and share the result. It is the right structure when neither party can do it alone, or should not carry all the risk alone, and when the opportunity is specific enough to define. It is the wrong structure when one side is simply buying the other's service. That is a contract, not a venture.
A joint venture is a marriage with a business plan. Write the separation clause while everyone is still smiling." Adnan Feroz
Contractual vs incorporated JV
| Factor | Contractual JV | Incorporated JV |
|---|---|---|
| Form | A cooperation, consortium or teaming agreement; no new company | A new company owned by the partners in agreed shares |
| Speed and cost | Faster and lighter to set up | Longer: registration, licensing and ongoing compliance |
| Contracts and liability | Each party contracts in its own name; shared obligations are allocated in the agreement | The JV company contracts and holds assets in its own name |
| Governance | Steering committee defined in the contract | Board, shareholders' agreement and constitutional documents |
| Best for | Single projects, bids, consortiums, pilots | Long-term businesses, shared assets, outside capital |
| Exit | Ends on expiry, completion or termination | Share transfer, buyout, sale or winding up |
How liability actually falls depends on the governing law and the drafting, so take legal advice on your specific vehicle. In practice, many ventures start contractual and incorporate once the opportunity is proven.
How to structure a joint venture: 6 steps
- Define the opportunity and scope. Territory, products, customers and duration. A vague scope becomes a dispute.
- Value the contributions. Cash, assets, licences, IP, relationships and work. Agree how non-cash contributions are valued and whether ownership follows contribution.
- Choose the vehicle. Contractual or incorporated and, in the UAE, mainland or free zone.
- Set governance and the deadlock route before you need it.
- Agree funding: how future capital is called and what happens to a partner who does not fund.
- Write the exit before the entry: triggers, valuation method and transfer rules.
Joint venture agreement key terms
| Term | What it decides | What I look for |
|---|---|---|
| Contributions | What each partner puts in: cash, assets, IP, licences, people, market access | Written valuation of non-cash contributions and delivery dates |
| Ownership and profit split | Shareholding, distributions and losses | Whether the split follows capital, effort or both; a distribution policy |
| Governance | Board seats, management and reserved matters | A short list of reserved matters; clear day-to-day authority |
| Deadlock | What happens when partners cannot agree on a reserved matter | Escalation to principals, then mediation, then a buy-sell or put and call mechanism |
| Funding | Future capital calls and shareholder loans | Consequences for a partner who does not fund |
| Transfers | Who can sell, and to whom | Right of first refusal, lock-up, drag-along and tag-along |
| Exit | How the venture ends or a partner leaves | Triggers (default, change of control, deadlock, term end) and a valuation method |
| IP | Who owns what was brought in and what is created | Background IP stays with the contributor under licence; ownership of new IP agreed upfront |
| Non-compete | Whether partners can compete with the JV | Limited by territory, field and time, plus non-solicit of staff and customers |
| Dispute resolution | Governing law and forum | Named law and seat; enforceable where the assets sit |
The UAE has recently made several of these terms easier to embed in a company's own documents. Federal Decree-Law No. 20 of 2025, which amended the Commercial Companies Law (Federal Decree-Law No. 32 of 2021), allows drag-along and tag-along rights to be included in constitutional documents and extends share classes to LLCs, with detailed rules left to a Cabinet decision. Greenberg Traurig notes the reforms are relevant "particularly for joint ventures, growth stage investments, and minority protected structures", while pre-emption remains the default and overrides operate by agreement. For JV partners, that means the shareholders' agreement and the articles can say the same thing.
Mainland vs free zone JV in the UAE
The UAE opened onshore ownership in 2020. According to the UAE Government Portal, Federal Decree-Law No. 26 of 2020 lets non-Emiratis of all nationalities hold full ownership of onshore companies they establish, with activities of strategic impact defined by the Cabinet on a committee's recommendation. The same page notes that in Dubai, 100% foreign ownership is available for more than 1,000 activities, excluding activities with a strategic impact in seven sectors.
Free zones also offer 100% foreign ownership. DMCC explains that a free zone licence does not by itself authorize business on the mainland and lists the routes: a local distributor or agent, a branch or separate licence, or a permit. Dubai Executive Council Resolution No. 11 of 2025 lets Dubai free zone companies operate on the mainland through a branch licence or a temporary permit, overseen by the Department of Economy and Tourism. The 2025 company-law amendments also recognize re-domiciliation between free zones and the mainland, subject to implementing regulations.
| Factor | Mainland JV | Free zone JV |
|---|---|---|
| Foreign ownership | Full ownership for most activities; strategic-impact activities follow a Cabinet list | 100% foreign ownership |
| Market access | Built for trading directly with onshore customers | Licence covers the free zone; mainland via distributor, branch, separate licence or, in Dubai, a permit |
| Best fit | JVs selling mainly to UAE customers or government | JVs focused on international trade, holding structures and services |
| Check first | Whether the activity is on the strategic-impact list | Whether the free zone permits the activity and the mainland route you need |
The right choice depends on where your customers are, which licence the activity needs and where the partners want disputes resolved. Confirm the current position with the licensing authority and qualified counsel before you sign. My guide to UAE market entry covers the wider decision.
Joint venture partner UAE: how to find and vet one
- Name the gap. The exact capability, licence or market access you lack.
- Verify the basics. Trade licence, ownership, authorized signatories and track record.
- Test small. Start with a contractual scope before you incorporate.
- Check alignment on time horizon, reinvestment and exit.
- Paper the introduction. NCNDA and engagement letter before names are shared. That is Law II of my Laws of the Desk: engagement first.
Through my partnerships practice I make introductions to principals across the US, Canada, the UAE, India and Africa, drawing on a network of 1.3M+ business profiles.
Proof: consortiums and ventures I have built
AERC. I am founder and a Board Director of the Alternative Energy Resource Consortium in Dubai, a waste-to-energy project of about USD 500M in value, designed for 7,500 tonnes a day. It is a consortium, a contractual JV, where each member brings a defined capability. The consortium agreements are signed; funding and launch are pending. See AERC.
Global Healthcare Group. I am Co-Founder and Vice-Chairman (in formation) of a DIFC holding company for specialty hospitals: an incorporated holding structure rather than a contractual one.
Alliances and mandates. As Head of Alliances and Growth at Galaxy Weblinks, a US software firm with 500+ engineers, I have signed USD 30M of software deals. I also hold a written global mandate (2025–2027) to represent and negotiate for ABMIG, a Dubai holding group of 14 companies. The full record is on my projects page.

Frequently asked questions
How do you structure a joint venture?
Define the opportunity and scope, value each partner's contributions, choose a contractual or incorporated vehicle, then agree governance, deadlock resolution, funding, transfers, exit, IP and non-compete terms. Write the exit before the entry. In the UAE, decide early between a mainland and a free zone vehicle. Have qualified counsel draft the joint venture agreement and the constitutional documents.
What is the difference between a contractual and an incorporated joint venture?
A contractual JV is an agreement between parties, such as a consortium or teaming agreement, with no new company. It is quicker and suits single projects. An incorporated JV is a new company owned by the partners, with a board, a shareholders' agreement and its own contracts. It suits long-term businesses and shared assets, but takes longer to set up and maintain.
What are the key terms of a joint venture agreement?
The terms that decide most outcomes are contributions, ownership and profit split, governance and reserved matters, deadlock resolution, funding and capital calls, transfer restrictions including drag-along and tag-along, exit triggers and valuation, IP ownership, non-compete, and dispute resolution. Agree them in a term sheet first, then in the definitive joint venture and shareholders' agreements.
Can a foreigner own 100% of a joint venture company in the UAE?
For most activities, yes. Federal Decree-Law No. 26 of 2020 allows non-Emiratis to fully own onshore companies they establish, with activities of strategic impact governed by a Cabinet-set list. Free zone companies also offer 100% foreign ownership. Check your activity against the current rules with the licensing authority and take legal advice before choosing a vehicle.
Should a UAE joint venture be on the mainland or in a free zone?
Choose based on where your customers are. A mainland company suits a JV that trades directly with onshore customers. A free zone company suits international trade, holding and services, with routes to the mainland such as a distributor, a branch or, in Dubai, a permit under Executive Council Resolution No. 11 of 2025. Confirm activity eligibility with the authority.
How do you resolve deadlock in a 50/50 joint venture?
Build a staged route into the agreement: escalation to the principals, then mediation, then a mechanism that ends the deadlock, such as a buy-sell clause, put and call options or a sale of the business. Keep reserved matters short so deadlock is rare. In the UAE, recent amendments allow drag-along and tag-along rights in constitutional documents.
How do I find a joint venture partner in the UAE?
Name the exact capability, licence or market access you lack. Shortlist partners with verified licences, clear ownership and a track record in that gap, test the relationship with a small contractual scope, and check alignment on time horizon and exit. Sign an NCNDA and engagement letter before introductions. I make introductions to principals through my partnerships practice.
