Why Canada, why now
I built my career in Toronto, then moved my base to Dubai. From both ends of that corridor, I can see Canada opening to new partners faster than at any point I remember.
The clearest signal is the Gulf. Canada and the UAE signed a Comprehensive Economic Partnership Agreement (CEPA) on October 27, 2026. Once fully implemented, it will reduce or eliminate tariffs on over 99% of current Canadian exports to the UAE, and it is expected to enter into force in 2027 (Prime Minister of Canada). Two-way merchandise trade was valued at $3.5 billion in 2025, and the UAE has a $70 billion investment commitment to Canada (Global Affairs Canada). Dubai International Chamber opened a Toronto office in June 2025, when 4,112 Canadian companies were already active Dubai Chamber members (Dubai Media Office).
Canada rewards patience and paperwork. Arrive with both and the doors open.
Canada business entry routes compared
| Route | Best for | Investment Canada Act | Speed to first revenue | Control |
|---|---|---|---|---|
| Direct export | Proven products, a few large buyers | No filing | Fastest | Low |
| Distributor or agent | Industrial, consumer and medtech goods needing local service | No filing | Fast, once the right partner signs | Medium |
| New subsidiary | Software, services, long contracts, local hiring | Notification | Slower; you build the team | High |
| Acquisition | Buying customers, licences and staff at once | Notification, or review above thresholds | Day one, after the longest diligence | Highest |
Most of my clients start with a distributor or partner and incorporate once revenue is proven. If your buyers expect a Canadian entity from day one, reverse the order.
Investment Canada Act notification and review in plain English
When a non-Canadian starts a new Canadian business or acquires control of one, section 11 of the Investment Canada Act makes it "subject to notification", and section 12 lets you file before closing or within 30 days after (Justice Laws Website). A full "net benefit" review applies only above the 2026 thresholds (ISED):
- C$1.452 billion enterprise value for private-sector investors from WTO members.
- C$2.179 billion enterprise value for trade-agreement investors, including the US and EU member states (JD Supra).
- C$578 million in assets for state-owned enterprise investors from WTO members.
- C$5 million direct and C$50 million indirect for non-WTO investors and cultural businesses.
Size is not the only test. Any investment can face a national security review, and a notification opens a 45-day window for the government to start one (JD Supra). If you are in sensitive technology, data, critical minerals or infrastructure, or you are state-linked, plan for it. This is an outline, not legal advice; your Canadian counsel files and advises.
Choosing a province: director residency rules
You can incorporate federally or in a province. The choice decides who can sit on your board.
| Jurisdiction | Resident Canadian director rule | Source |
|---|---|---|
| Federal (CBCA) | At least 25% of directors, and at least one if the board has fewer than four. Some regulated sectors need a majority. | CBCA s. 105 |
| Ontario | None since July 5, 2021 | Bennett Jones |
| British Columbia | None in the Business Corporations Act | BC Laws |
| Alberta | None since March 29, 2021 | Bennett Jones |
| Quebec, Nova Scotia, New Brunswick | None | Bennett Jones |
| Other provinces and territories | Rules differ; confirm before filing | Your counsel |
A foreign-owned company with an all-overseas board therefore often incorporates in Ontario or British Columbia. Then pick your city by where your first buyers sit. For most of my clients, that has meant Toronto.
Buying a business in Canada as a foreigner
Yes, a non-resident can buy a Canadian business. Below the thresholds, the Act asks for a notification, not permission. What slows foreign buyers is access: good owner-run businesses are often sold quietly, through accountants, lawyers and bankers who want to know the buyer first. Decide share or asset purchase early, check the board rule, screen for national security before a letter of intent, and appoint Canadian counsel before diligence.
Business entry is not immigration. A business visitor can attend meetings, take orders and buy goods for a foreign business, but must not enter the Canadian labour market and generally stays less than six months (IRCC). I do not advise on immigration.
Entering Canada from the US, India, the Gulf and Africa
From the US
Goods that meet CUSMA rules of origin can qualify for preferential tariff treatment, but the benefit is not automatic and needs a certification of origin (Trade Commissioner Service). A US citizen can own and direct a company in Ontario or British Columbia without living in Canada. For the reverse direction, see US market entry.
From India
Founders often mix two questions: business and residency. I separate them on day one. Read my India to Canada guide.
From the UAE and the Gulf
Gulf principals usually look at Canada for real assets, infrastructure and operating partners. See my Canada UAE advisory page and CEPA guide.
From Africa
Many African companies reach Canada through Dubai first. Start with African companies expanding to Dubai. Every corridor is on my market entry hub.
Step by step: Canada market entry in 90 days
- Days 1–15, decision brief. Route, province, first segment and three success numbers. Engagement letter and NCNDA before any introduction (a rule on my desk).
- Days 15–30, compliance map and targets. Counsel confirms the Investment Canada Act filing and board structure. I build 20 named accounts and five partner candidates.
- Days 30–60, meetings. In-person partner and buyer rounds, starting in Toronto, with a clear ask in every room.
- Days 60–90, terms. Distribution, partnership or purchase terms negotiated with your lawyers, and a go or no-go by day 90.
Days 91 to 180 are execution: the 90/90 Method from my new book, The Deal Architect, launching on Amazon on 26 November 2026.
Proof: what Toronto taught me about entering Canada
I was admitted to the University of Toronto on a Queen Elizabeth II Scholarship in 2004 and built my business life in that city: 14+ years in real estate and USD 300M in personal sales (2010–2024). I launched my #1 Amazon bestseller, Beyond Riches with Income Properties, at the Toronto Fall Home Show in 2018. Toronto taught me that Canadian deals move on trust, references and clean paperwork.
Today I work the corridor from Dubai. I have met Canadian federal, provincial and municipal officials on Canada-UAE opportunities, I run WeOpen.ca with 26 Canada-UAE initiatives, and I have proposed a Canada-UAE bilateral pipeline programme office. Under my ABMIG mandate, one of my mandates, my introductions for a fourteen-company Dubai holding group included Canadian officials at three levels of government.
Galaxy Weblinks, the US software firm where I am Head of Alliances and Growth, puts it this way: "Within months he had us in live conversations with a facilities-management group operating in 25+ countries, a Canadian trading business and a fourteen-company Dubai holding group, with USD 30 million of software work signed and more in pipeline." Frequently asked questions
What is the best market entry strategy for Canada?
For most foreign companies, the best Canada market entry strategy is to start with a distributor or partner, prove revenue, then incorporate. Companies selling to enterprise or public-sector buyers often need a Canadian entity first. Either way, decide the route, the province and your first 20 target accounts before you spend on setup, and file any Investment Canada Act notification on time.
How do I start a business in Canada as a foreigner?
Choose federal or provincial incorporation, check the director residency rule, register the company, and file an Investment Canada Act notification before or within 30 days after you start the new business. Ontario, British Columbia, Alberta and Quebec have no resident director requirement; federal companies need at least 25% resident Canadian directors. Use Canadian counsel for filings and tax.
Can I buy a business in Canada as a non-resident?
Yes. Below the 2026 thresholds (C$1.452 billion for WTO investors and C$2.179 billion for trade-agreement investors, in enterprise value), acquiring control usually needs only a notification. Any deal can still face a national security review. The harder part is access to good businesses, which are often sold privately through advisers who want to know the buyer first.
Does starting a new business in Canada need an Investment Canada Act notification?
Yes. Section 11 of the Investment Canada Act makes an investment by a non-Canadian to establish a new Canadian business subject to notification. Section 12 allows the notice to be filed before the investment is implemented or within 30 days after. Notification is not approval, but it can open a national security review window, so file it carefully with counsel.
Do I need a Canadian resident director?
It depends where you incorporate. Federal CBCA companies need at least 25% resident Canadian directors, or at least one if the board has fewer than four. Ontario has had no requirement since July 5, 2021, Alberta since March 29, 2021, and British Columbia, Quebec, Nova Scotia and New Brunswick have none. Confirm current rules with counsel before filing.
How do I start a business in Canada as a US citizen?
A US citizen can own and direct a company in a province with no residency rule, such as Ontario or British Columbia, without living in Canada. File the Investment Canada Act notification for a new business. For goods, check CUSMA rules of origin and certification. Business visits are allowed, but working in Canada long term needs the right immigration status.
How do I find investors in Canada?
Start with traction, not a pitch deck. I make introductions to principals and family offices, including Gulf principals looking at Canada, after an engagement letter and NCNDA. Strategic advisory and introductions only. Not investment, legal or tax advice, and not an offer of securities. Regulated activities are handled by appropriately licensed firms.
Plan your Canada entry with someone who built there
Book a 15-minute fit call and bring your route question, your province question or your target list. The USD 500 fee is credited in full against any engagement within 30 days, and refunded if I decline your file.
